Our proven track record has involved negotiating and documenting some of the largest and most complex transactions concluded to date by Western multinationals, domestic companies and governments in the region.
Recent transactions in which the lawyers of our Moscow office have played a major role include:

Telecoms: Assistance to a leading Russian telecoms provider in acquisition of the fourth largest GSM operator in Uzbekistan, for US$60 million, and the second largest cellular operator in Uzbekistan, for US$200 million.
- Food Products: Acted as special transaction counsel to the principal shareholders of the largest Russian juice and dairy company, in connection with a proposed transaction with one of the world's leading food producers.
- Breweries: Advising the world’s second largest brewing conglomerate on its negotiation and acquisition of substantial equity stakes in several Russian breweries, and participation through a joint venture in the ownership of 11 breweries throughout the country. Representation of a group of sellers in connection with the sale of several Russian breweries to Heineken.
- PetroKazakhstan: Representation of China National Petroleum Corporation (CNPC) on the successfully closed $4.18 billion acquisition of this major Kazakhstan oil producer and refiner.
- Shtokman: Ongoing assistance to Statoil of Norway on this proposed new mega-project for development of large Barents Sea gas field, 550 km pipeline to shore, LNG plant near Murmansk and shipment to the US.
- Caspian Pipeline Consortium: Representing this consortium of three governments (Russia, Kazakhstan and Oman) and eight major oil producers in establishing the legal infrastructure for, and implementing development of, this completed 1500-kilometer, $2.6 billion pipeline carrying crude oil from Tengiz in Kazakhstan to the Black Sea port of Novorossiisk in Russia.
- Energy Mega-Deal: Representation of Yukos in its successfully closed acquisition of Sibneft for over $10 billion in 2003, involving the acquisition of about 92% of Sibneft's shares in a series of complex transactions.
- Russian Banks: Representation of Vneshtorgbank, Sberbank, Gazprombank and a number of others on various international and domestic financing, M&A, trade and commercial dispute matters.
- AIM IPO: Acted as issuer’s counsel to Rambler Media Limited on a US$46 million IPO that was listed on the Alternative Investment Market of the London Stock Exchange.
- SWX Equity Offering: Acted as lead manager's counsel for Renaissance Capital on a US$63 million Regulation S equity offering by Eastern Property Holdings Limited, an SWX Swiss Exchange listed company with Russian property investments.
- Russian Equity Offering: Representation of Pharmacy Chain 36.6, the leading Russian pharmacy chain and generic drug manufacturer, in the international offering of 20% of its ordinary shares to a select group of investors in Russia and Western Europe.
- ADR/GDR: Regular outside depositary's counsel to Deutsche Bank Trust Company Americas for ADR and GDR programs relating to the shares of Russian issuers.
- Cars: Advised a major European car manufacturer on its successful acquisition of 25.1% of the shares of its Russian manufacturing joint venture with the City of Moscow, in a public privatization auction for $40 million; previously, we advised our client on earlier stages of the project, involving total investment of over 300 million euros.
- Real Estate: On behalf of many clients, advising on the acquisition or sale of land and buildings throughout Russia (from Kaliningrad in the west to Sakhalin in the east), and including much experience in Moscow and environs. Negotiating the lease of land and buildings; advising on complex real estate development and construction matters; conducting due diligence on property and land rights; and negotiating complex commercial and office leases, particularly in Moscow.
- Intellectual Property: Advising Western technology and other owners on registering and protecting their intellectual property rights (copyright, trademark, industrial processes) in Russia and in other CIS republics.
- Arbitration: Representing clients in a number of proceedings before the International Commercial Arbitration Court of the RF Chamber of Commerce and Industry (“ICAC”); in European and American courts of Russia/CIS related disputes, under UNCITRAL, ICC, AAA and other rules.
